1. The agreement
These terms ("Terms") are an agreement between you ("you") and Quarz.io ("Quarz", "we"). They govern your use of quarz.io, app.quarz.io, the Quarz browser extension, and any other services we provide (together, the "Service").
If you're using Quarz on behalf of an organization, you confirm you have the authority to bind that organization. Both you personally and the organization are then bound by these Terms.
2. Your account
You need an account to use most of Quarz. You agree to provide accurate information, keep your login credentials private, and let us know promptly if you suspect your account has been accessed by someone else.
You must be at least 18 years old to use Quarz.
3. Acceptable use
You agree not to:
- Use Quarz to generate content that is illegal, harassing, hateful, or that infringes another person's rights.
- Impersonate someone else's identity, voice, or brand without their permission.
- Generate spam, scraped reposts, or content intended to manipulate engagement metrics in ways that violate LinkedIn's terms of service.
- Reverse-engineer the Service, attempt to extract our model weights, or interfere with the Service's operation.
- Resell access to the Service without a written reseller agreement with us.
Violations may result in immediate suspension. Repeated or serious violations result in termination without refund.
4. Your content
You retain all rights to the content you put into Quarz (voice samples, drafts, scheduled posts) and to the drafts Quarz generates from your inputs.
You grant Quarz a limited license to host, store, process, and display your content as necessary to operate the Service for you, and to use aggregated, anonymized signals to improve the Service. We will never share your specific content with other customers, and we will never use your voice samples to generate content for someone else's workspace.
5. AI-generated drafts
Quarz uses large language models to generate drafts. You acknowledge that:
- Drafts may contain inaccuracies, including incorrect statistics or unverified claims.
- You are responsible for reviewing every draft before publishing.
- Quarz does not guarantee that a draft is non-infringing or non-defamatory.
- If you publish a draft and it causes harm, that's on you, not on Quarz.
6. Billing and cancellation
Paid plans are billed monthly or annually, in advance, via Stripe. You can cancel anytime from your account settings. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for partial periods, except where required by law.
During early access (the period before public launch), Quarz is free of charge. We may introduce paid plans during early access, and if so we will give existing users at least 30 days' notice and a grandfathered rate for at least 12 months.
7. Warranty and liability
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties — express or implied — including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, our total liability for any claim arising from these Terms or your use of the Service will not exceed the greater of (a) US $100 or (b) the fees you paid us in the 12 months before the claim.
Nothing in these Terms limits liability that cannot legally be limited — e.g. gross negligence, willful misconduct, or statutory consumer rights in your jurisdiction.
8. Termination
You may terminate your account at any time by canceling from settings or emailing team@quarz.io. We may suspend or terminate your account for material breach of these Terms, with notice where reasonable, immediately where necessary to protect other users or our infrastructure.
On termination, your workspace content remains readable for 30 days so you can export it, then it's deleted from production systems within 60 days and from backups within 90.
9. Changes to these terms
We may update these Terms. If we make material changes, we'll notify you by email and post the new version with an updated "Last updated" date at least 14 days before they take effect. Continued use after that date is your acceptance of the updated Terms. If you don't accept, you may terminate before the change date and receive a pro-rated refund of any unused subscription.
10. Governing law
These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual ones), are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and any conflict-of-laws rules that would point to another legal system.
If you are a consumer — a person acting wholly or mainly outside your trade, business, or profession — this choice of law does not take away the protection of any mandatory provisions of the law of the country where you habitually reside. Those protections continue to apply to you.
If you are a business user, the exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms is Germany. We may also choose to bring proceedings at your general place of jurisdiction.
If you are a consumer: you may bring proceedings against us either in the courts of Germany or in the courts of the country where you are domiciled; we may bring proceedings against you only in the courts of the country where you are domiciled.
Nothing in this section removes any mandatory statutory right you have to bring, or to have heard, a claim in your own jurisdiction.
